What you need:
Download Seas0nPass for Mac OS X (here) or Windows (here)
Latest version of iTunes (10.5.2)
A mirco USB cable
Download current iPSW 4.4.4 (9A406a)
Next run Seas0nPass as administrator on Windows.
Then Hold down the shift key, click the Create IPSW button and select the firmware version your ATV2 is currently running (which should be 4.4.4).
Seas0nPass will now begin creating your Jailbroken IPSW.
Once Seas0nPass has created the custom IPSW, you will be prompt to connect your ATV2 into your computer and put it into DFU mode (follow the on-screen instructions).
Once your ATV2 is in DFU mode, Seas0nPass will automatically open iTunes and start the restore process.
Your ATV2 should now be Jailbroken on the 4.4.4 firmware.
*To confirm the Jailbreak was successful a (temporary) red FC logo will appear at the lower right corner of the screen - see below.*
